As simple as it gets, a bye law is a law or a rule governing the internal affairs of an organization.
It is a rule made by a local authority for the regulation of its affairs or management of the area it governs. A by law is a subsidiary law. It refers to a rule adopted by an organization in order to to regulate its own affairs and the behaviour of its members
It is a prescribed guide for conduct or action of the organisation. A Bye-law is a word used to denote laws passed and enforceable by a local authority. For example, if a by law is made by the local government, it will only be applicable for that particular region or a rule made by a company or society to control the action of its members.
Bye laws are the written rules that control the internal affairs of an organization. Bylaws generally define things like the group’s official name, purpose, requirements for membership, officers’ titles and responsibilities, how offices are to be assigned, how meetings should be conducted, and how often meetings will be held. Bylaws also govern the way the group must function as well as the roles and responsibilities of its officers. They are essential in helping an organization map out its purpose and the practical day-to-day details of how it will go about its business. Bylaws serve as the legal guidelines of the organization
The function of a by-law is to prescribe the rights and duties of the members with reference to the internal government of the corporation, the management of its affairs, and the rights and duties existing between the members. Having bylaws can be helpful to almost any type of organization, regardless of size or purpose. Determining exactly how your organization is going to operate and putting that down on paper can help keep things running smoothly, provide the answers to tough questions, save enormous amounts of time and deliberation, help you define your mission, or structure the organization to correspond to that mission.
Organizations have bylaws because they want to maintain consistency in the running of the business. They use bylaws to communicate organizational rules so internal disputes and conflict can be avoided. Organizations also use bylaws to educate incoming directors and officers, and managers refer to bylaws so meetings and elections of the company run smoothly.
Bylaws are like a company’s rulebook. The provisions contain clear guidelines on what directors, officers and employees can and can’t do. Managers can draft bylaws with an eye toward avoiding future disputes, anticipating possible sources of conflict and coming up with provisions to prevent these issues. They are an important legal document for a corporation to have in place as they specify its internal management structure and how it will be run. In short, by laws are the internal operating manual for a corporation or organization. In any company, they are established by the board of directors during the time the corporation is being formed. This process is called incorporation, and one of the first tasks of this new corporation will be to form corporate bylaws. Having bylaws in place will save time that would’ve been spent on trying to work out complications within the company. It will also help keep things running smoothly and define goals or missions.
