- PURPOSE
The Parties agree to jointly produce a web seriesworking title “___________________” (the “Project”). This Agreement outlines the rights, obligations, and responsibilities of each Party in connection with the production, financing, and distribution of the Project. - RESPONSIBILITIES OF THE PARTIES
(a) Producer Ashall:
Oversee marketing, promotion, and branding of the Project.
Handle financial aspects, including budget allocation and investor relations.
Appoint the production crew in consultation with Producer B.
(b) Producer B shall:
Serve as the Director and have complete creative liberty over the content of the Project.
Oversee script development, casting, and artistic direction.
Collaborate with Producer A on production-related decisions.
- INTELLECTUAL PROPERTY RIGHTS (IPR)
(a) The Intellectual Property Rights of the Project, including but not limited to copyrights, trademarks, and distribution rights, shall be shared between the Parties in the following ratio:
Producer A: 60%
Producer B: 40%
(b) Any derivative works, adaptations, or spin-offs shall also adhere to the same ownership structure unless otherwise agreed in writing.
- DECISION-MAKING
(a) Producer B shall have full creative controlover the content, including script, direction, and post-production decisions.
(b) Producer A shall be responsible for appointing the production crew in consultation with Producer B. - FINANCIAL CONTRIBUTIONS & REVENUE SHARING
(a) The Parties shall mutually agree on the budget allocation.
(b) Any revenue generated from the Project, including streaming rights, sponsorships, and merchandising, shall be shared in accordance with the IPR split (60% Producer A, 40% Producer B). - DISTRIBUTION & MARKETING
(a) Producer A shall oversee the marketing and distribution of the Project.
(b) Producer B shall contribute to promotional activities as reasonably required. - TERM & TERMINATION
(a) This Agreement shall remain in effect until completion and full distribution of the Project.
(b) In case of breach by either Party, the non-breaching Party may terminate the Agreement upon 30 days’ written notice, provided the breaching Party fails to cure the breach. - CONFIDENTIALITY
Both Parties agree to keep confidential any proprietary or sensitive information related to the Project, including financial arrangements, scripts, and marketing strategies. - DISPUTE RESOLUTION

ARTIST AGREEMENT

- ENGAGEMENT & TERM

(b) The Producer shall cover expenses related to the Artist’s driver, hair stylist, and makeup artistupon submission of an invoice. - DUBBING & PROMOTIONAL ACTIVITIES
(a) The Artist shall be required to participate in dubbing sessionsas scheduled by the Producer.
(b) The Artist shall also be required to participate in various promotional activities(including but not limited to press conferences, interviews, social media promotions, and events). The Producer shall provide the schedule for the same. - OBLIGATIONS OF THE ARTIST
(a) The Artist agrees to be punctual and professional while on set and comply with the shooting schedule.
(b) The Artist agrees to adhere to the creative and production requirements as directed by the Producer. - TERMINATION
(a) The Producer may terminate this Agreement if the Artist fails to fulfill his obligations or breaches any terms of this Agreement.
(b) In the event of termination, the Artist shall be compensated only for the days he has completed shooting. - CONFIDENTIALITY
The Artist shall not disclose any confidential information related to the Project, including storyline, characters, and production details, to any third party without the prior written consent of the Producer. - DISPUTE RESOLUTION

(b) The Cinematographer shall have the right to hire his own crew members and shall be responsible for their payments.
(c) The Cinematographer shall ensure high-quality filming and maintain industry standards in all technical aspects of cinematography. - COMPENSATION
(a) The Cinematographer shall be compensated at a rate of Rs. ______ per day of shoot.
(b) The payment for the Cinematographer shall be made within 90 daysof the completion of the shooting schedule. - EQUIPMENT RENTAL
(a) The Cinematographer shall be responsible for arranging and hiring the necessary camera and lighting equipment required for the Project.
