- ENGAGEMENT

- ARTIST COMMITMENTS

- Availability:The artist shall be available and present on all dates provided by the producer for the shoot, rehearsals, promotional events, and any other activities related to the Film.
- PerformanceArtist shall diligently perform the Role of ———————- in the Film by the direction provided by the Producer. The Artist shall devote their full professional efforts and talents to ensure the success of their performance.
- Preparation:The Artist shall conduct thorough research on the Role and diligently prepare for their performance, including but not limited to studying the script, understanding the character motivations, and collaborating with the Production House’s creative team as necessary.
- Professionalism: The Artists shall professionally conduct themselves at all times during the engagement period, including but not limited to arriving punctually to all scheduled activities, maintaining a cooperative attitude towards the Producer and fellow cast and crew members, and adhering to the Producer’s rules and guidelines.
- Dubbing: The artist shall provide necessary dubbing for the Film promptly and under the Producer’s specifications.
- Promotional Activities: The Artist shall actively participate in promotional activities related to the Film, including but not limited to press interviews, social media campaigns, public appearances, and other marketing efforts, as reasonably requested by the Producer.
- Confidentiality:The Artist shall maintain the confidentiality of any proprietary or confidential information disclosed by the Producer during the course of their engagement and shall not disclose such information to any third party without the prior written consent of the Producer.
- Compliance:The Artist shall comply with all applicable laws, regulations, and industry standards governing their performance in the Film and shall not engage in any activities that may bring disrepute or harm to the Producer or the Film.
- The Artist acknowledges that their commitment to the above obligations is essential for the successful production and promotion of the Film and agrees to fulfill their obligations to the best of their abilities.
- PAYMENT
- Consideration of Artist’s services rendered under this Agreement, the Producer agrees to pay Artist a total compensation of Rs.50,000/- (Rupees Fifty Thousand Only ) per shoot day the following compensation:
- Installments: The Artist’s compensation shall be paid as a Lumpsum at the end of the shoot day.
- Method of Payment: All payments shall be made via NEFT or Cheque, unless otherwise agreed upon by both parties in writing.
- Currency:Unless otherwise specified, all payments shall be made in Indian Rupees.
- Taxes:Artist shall be responsible for any taxes or withholding taxes imposed on the compensation paid to them under this Agreement.
- No additional Compensation:The Artist acknowledges and agrees that the compensation set forth herein shall constitute full and final payment for all services rendered by Artist under this Agreement, including but not limited to performances, rehearsals, and promotional activities.
- Any day on which, a patchwork shoot is done, for the completion of the said film, shall be considered as a Complete Shoot Day and the payment shall be made accordingly.
- Artist agrees to the above payment terms and acknowledges receipt of the amounts specified herein as full and fair compensation for their services rendered under this Agreement.
- SCHEDULE
- Commitment Date: The artist agrees to be available for the shooting of the film on the dates informed to him prior in advance by the Producer.
- Changes to Schedule: The Producer reserves the right to make reasonable changes to the schedule of shooting dates and times, provided that the Artist is given advance notice of changes and such changes do not materially affect the Artist’s obligations under this Agreement.
- Presence Requirement: The artist shall be present on set and ready to perform their duties promptly at the commencement of each schedule on the Shooting Day. The Artist shall notify the Producer in advance of any anticipated delay or absences.
- Cooperation: The artist agrees to cooperate with the Producer and other cast and crew members to ensure the efficient and timely completion of shooting activities following the schedule.
- Extensions: In the event of unforeseen circumstances or production delays beyond the control of the Production House, Artist agrees to make reasonable efforts to accommodate any necessary extensions to the shooting schedule, provided that Lead Artist’s availability permits.
- FORCE MAJURE
- Neither party shall be held liable or responsible to the other party nor be deemed to have defaulted under or breached this Agreement for failure or delay in fulfilling or performing any term of this Agreement (other than any payment obligations) when such failure or delay is caused by or results from acts or circumstances beyond the reasonable control of the affected party, including, but not limited to, acts of God, flood, fire, earthquake, explosion, pandemic, epidemic, war, invasion, hostilities (whether war is declared or not), terrorist threats or acts, riot, or other civil unrest, national emergency, revolution, insurrection, lockouts, strikes, labor disputes, or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials, materials or telecommunication breakdown or power outage.
- The affected party shall give prompt written notice to the other party, stating the nature of the Force Majeure event, its anticipated duration, and the anticipated effect of such event on its ability to perform its obligations under this Agreement.
- During the period that the Force Majeure event continues, the obligations of the affected party under this Agreement shall be suspended, and the time for performance of such obligations shall be extended for the duration of the Force Majeure event, provided that if the Force Majeure event continues for a period of [number] days or more, the non-affected party may terminate this Agreement by giving written notice to the affected party
- If the Producers are unable to continue with the production of the Film due to a Force Majeure event, Artist’s compensation shall be adjusted accordingly based on the work completed up to the date of the Force Majeure event.
- Upon the cessation of the Force Majeure event, the affected party shall promptly resume the performance of its obligations under this Agreement.
- If the Force Majeure event affects both parties’ ability to perform their obligations under this Agreement, the parties shall work together in good faith to negotiate a mutually acceptable solution to mitigate the impact of the Force Majeure event on the performance of this Agreement.
- Nothing in this clause shall excuse the Artist from the obligation to make themselves available for rescheduled shooting dates or other activities as reasonably required by the Producer following the cessation of the Force Majeure event.
- This Force Majeure clause shall survive the termination or expiration of this Agreement.
- INTELLECTUAL PROPERTY RIGHTS
- Ownership:Artist acknowledges and agrees that all Intellectual Property Rights, including but not limited to copyrights, trademarks, trade secrets, and any other proprietary rights, in and to the Film, including any materials created, contributed, or developed by Artistin connection with their performance of the Role (the “Materials”), shall be the sole and exclusive property of the Producers.
- Assignment:Artist hereby irrevocably assigns, transfers, and conveys to the Producers, its successors, and assigns, all right, title, and interest in and to the Materials, including all associated intellectual property rights, worldwide and in perpetuity. Artist agrees to execute any additional documents and take any further actions as may be reasonably necessary or requested by the Producer to perfect, confirm, or protect the Producer’s ownership rights in the Materials.
- License:The artist hereby grants to the Producer a non-exclusive, royalty-free, sublicensable, transferable, irrevocable license to use, reproduce, distribute, display, perform, adapt, modify, and prepare derivative works of the Materials for any purpose related to the exploitation, promotion, and distribution of the Film, in any media now known or hereafter devised.
- Moral Rights Waiver:To the extent permitted by applicable law, Artist hereby waives all moral rights or similar rights that the Artist may have in the Materials, including the right to attribution, integrity, or any other moral rights of authors.
- Protection of Intellectual Property Rights:The Artist agrees to cooperate with the Producer in the protection and enforcement of the Producer’s intellectual property rights in the Materials, including but not limited to providing assistance in the prosecution of copyright or trademark registrations and in the enforcement of any claims or actions against third parties for infringement or misappropriation of the Production House’s intellectual property rights.
- Unauthorised Use:Artist shall not use, reproduce, distribute, or display the Materials or any other intellectual property of the Producer without the prior written consent of the Producer, except as expressly permitted under this Agreement.
- Survival:This Intellectual Property Rights clause shall survive the termination or expiration of this Agreement.
- Artist acknowledges that their performance in the Film and the creation of the Materials are works made for hire for the Production House, and Artist hereby waives any claims or rights to additional compensation or ownership in the Materials beyond what is expressly provided for in this Agreement.
- CONFIDENTIALITY
- Definition: For the purposes of this Agreement, “Confidential Information” shall mean any and all information, whether oral, written, or in any other form, disclosed by the Producer to Lead Artist, or learned or obtained by Artist in connection with the performance of their services under this Agreement, which is not generally known to the public and is treated by the Producer as confidential or proprietary.
- Obligation: The artist agrees to maintain the confidentiality of all Confidential Information disclosed to them by the Producer during the term of this Agreement and thereafter. Artist shall not disclose, divulge, or make unauthorized use of any Confidential Information, except as expressly permitted under this Agreement or with the prior written consent of the Producer .
- Use of Confidentiality Information: Artist shall use Confidential Information solely to perform their obligations under this Agreement and shall not use Confidential Information for any other purpose without the prior written consent of the Producer.
- Exceptions: The obligations of confidentiality set forth herein shall not apply to any information that: (i) is or becomes publicly known through no fault of Lead Artist; (ii) was rightfully known or in the possession of Artist prior to the disclosure by the Production House; (iii) is independently developed by Artist without reference to or use of the Confidential Information; or (iv) is rightfully obtained by Artist from a third party without breach of any obligation of confidentiality.
- Return of Materials: Upon the termination or expiration of this Agreement, or upon the Producer written request, Artist shall promptly return to the Producer all materials, documents, or other tangible items containing or embodying Confidential Information, and Artist shall permanently delete or destroy any electronic copies of Confidential Information in their possession or control.
- Survival: This Confidentiality clause shall survive the termination or expiration of this Agreement.
- Artist acknowledges that any unauthorized disclosure or use of Confidential Information may cause irreparable harm to the Producer, and Artist agrees that the Producer shall be entitled to seek injunctive relief, in addition to any other remedies available at law or in equity, to enforce the provisions of this Confidentiality clause.
- GOVERNING LAW
- Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of Mumbai, without regard to its conflicts of law principles.
- Venue: Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or validity thereof, shall be exclusively resolved by the courts located in Mumbai. The artist hereby irrevocably submits to the jurisdiction of such courts for any such dispute, controversy, or claim.
- Enforceability: If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement shall remain in full force and effect to the fullest extent permitted by law.
- Amendments: This Agreement may only be amended or modified by a written instrument executed by both parties hereto.
- This Governing Law clause shall survive the termination or expiration of this Agreement.
- SEVERABILITY
- If any provision of this Agreement is held to be invalid, illegal, or unenforceable under any applicable law or court decision, such provision shall be deemed modified to the extent necessary to make it valid, legal, and enforceable, and the validity, legality, and enforceability of the remaining provisions of this Agreement shall not be affected thereby. If such modification is not possible, the invalid, illegal, or unenforceable provision shall be severed from this Agreement, and the remaining provisions of this Agreement shall remain in full force and effect to the fullest extent permitted by law.
- SOCIAL MEDIA AND PROMOTION
- Social Media Presence: The artist agrees to actively participate in social media promotion and publicity efforts related to the Film. This may include but is not limited to, sharing promotional materials, behind-the-scenes content, trailers, and other marketing materials related to the Film on the Artist’s social media accounts, including but not limited to platforms such as Facebook, Instagram, Twitter, and TikTok.
- Promotional Activities: The artist agrees to make themselves reasonably available for promotional activities related to the Film, including press interviews, public appearances, photo shoots, and other marketing events as reasonably requested by the Production House. Artist shall cooperate with the Production House’s marketing team and use their best efforts to promote the Film positively and professionally.
- Approval: The artist agrees to seek approval from the Producer before making any public statements, posts, or endorsements related to the Film or their involvement therein. The artist shall not make any statements or endorsements that could be detrimental to the reputation or commercial success of the Film without the prior written consent of the Production House.
- Brand Alignment: The artist agrees to align their personal brand and public image with the promotional efforts of the Film and the Production House. Artist shall refrain from engaging in any activities or endorsements that may conflict with the interests or image of the Film or the Production House.
- Ownership of the content: The Artist acknowledges and agrees that any content created or shared by the Artist in connection with the promotion of the Film, including but not limited to social media posts, photographs, videos, and written content, shall be owned by the Producer and may be used by the Producer for promotional purposes in perpetuity, without any additional compensation to Lead Artist.
- Indemnification: The artist agrees to indemnify and hold harmless the Production House, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or in connection with Artist’s breach of any obligations under this Social Media and Promotion clause.
- Non-Disparagement: Artist agrees not to make any disparaging remarks or negative comments about the Film, the Prodie, or any individuals associated with the Film or the Production House, whether orally, in writing, or on social media, during the term of this Agreement and thereafter.
- This social media and Promotion clause shall survive the termination or expiration of this Agreement.
- NOTICE AND COMMUNICATION
- Notice: Any notice, demand, request, consent, approval, or communication (collectively, “Notice”) required or permitted to be given under this Agreement shall be in writing and shall be deemed to have been duly given if delivered personally, sent by registered or certified mail (return receipt requested), or sent by email, to the parties at the following addresses:

Any Notice given by the above shall be deemed effective upon receipt or refusal of delivery, as evidenced by the return receipt or other written acknowledgment.
- Change of Address: Either party may change its address for Notice by giving Notice to the other party following this Notice and Communication clause.
- Email communication: The parties agree that communication by email shall be considered valid and effective for giving Notice under this Agreement, provided that the sender retains sufficient evidence of transmission.
- TERMINATION
- Termination for Convenience: Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party 30 days before the intended date of termination.
- Termination of Breach: If either party commits a material breach of any provision of this Agreement and fails to cure such breach within 30 days after receiving written notice specifying the nature of the breach, the non-breaching party may terminate this Agreement immediately upon written notice to the breaching party.
- Termination for Force Majure: If the performance of this Agreement is rendered impossible or impracticable due to a Force Majeure event as defined in the Force Majeure clause of this Agreement, either party may terminate this Agreement by providing written notice to the other party.
- Effect of termination: Upon termination of this Agreement for any reason:
- Artist shall immediately cease all performance of their obligations under this Agreement.
- The artist shall promptly return any materials, documents, or property belonging to the Producer in their possession or control.
- The Producer shall pay the Artist for any services rendered up to the effective date of termination, less any deductions or offsets for damages resulting from the Artist’s breach of this Agreement, if applicable.
- Survival:The following provisions shall survive the termination or expiration of this Agreement: Intellectual Property Rights, Confidentiality, Governing Law, Severability, Notice and Communication, and any other provisions which by their nature are intended to survive termination.
- No Liability:Neither party shall be liable to the other for damages, compensation, or indemnification solely as a result of the termination of this Agreement by its terms.
- Rights and remedies:Termination of this Agreement shall be without prejudice to any rights or remedies that either party may have at law or in equity.
- This Termination clause shall survive the termination or expiration of this Agreement.
- ENTIRE AGREEMENT
- This Agreement, including any attachments or exhibits hereto, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, negotiations, representations, and understandings, whether oral or written, relating to such subject matter.
- No modification, amendment, or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. Any failure by either party to enforce any provision of this Agreement shall not constitute a waiver of such provision or any other provision thereof.
- Each party acknowledges and agrees that in entering into this Agreement, it has not relied on any representations, warranties, or promises, whether express or implied, except as expressly set forth in this Agreement.
