As a final year law student there are two areas of law that always fascinates me:
- Merger and Acquisitions (M&A)
- Technology Law
The first step to establishing a career in this complex yet fascinating law would be to learn about it as much as you can. So that I always used to read about these two fields and come to the conclusion that 2020-2030 is going to be the golden era for start-ups which is going to result in massive opportunities and challenges in these two areas of law for lawyers.
If I talk about Mergers and Acquisitions (M&A) in India there are near an all-time high, led by more first-time buyers than ever before, accounting for more than 80 percent of the deals closed in 2020 and 2021—a marked increase from less than 70 percent through 2017 to 2019.
That shows for the longest time, since the turn of the century to the 2000s, 2020 has been romanticized as the year of the global turn.
Whether the markets are up or down, whether the economy is expanding or shrinking, M&A is an essential part of growth for any company. Irrespective of the market condition, M&A is the field that always has a growth strategy for a company.
M&A lawyers assist their clients with the appropriate financing for M&A and provide advice regarding the drafting, negotiation, and performance of contracts for the sale of portions of the business. M&A transactions are among the most complex and important events in the life of a firm— the consequences of which Impact both internally and externally.
The career for M&A lawyers is lucrative as they are always in demand for their specific skill sets. Lawyers in this M&A field are known for handling asset purchases and sales for the business. They often have to deal with the tax implication on the transactions as well. They can help by creating comprehensive deals.
Now, coming to Technology Law, It is one of the emerging areas of practice that lawyers can opt for as many of the start-ups are based on fintech companies and according to govt. report As of December 2021, India has over 17 Fintech companies, which have gained ‘Unicorn Status’ with a valuation of over $1 billion. Technology has already transformed the world. Even today’s India looks nothing like what we could imagine in the 90s, all thanks to technology. Everything from entertainment to politics, what we eat to how we sleep, everything is now being fundamentally altered by technology.
Even in today’s world Technology Law Practice is not considered to be a niche practicing area because day-to-day technology is changing even recent development In cryptocurrency is somehow connected to Technology Law. Moreover, work around the technology expanded over the years. Technology contract, fintech regulation, cyber offenses, data privacy, IP issues related to the internet has emerged as the most important areas of work for technology lawyers.
Other areas like platform governance, content regulation, technology policy, and online reputation management have shown a great deal of promise to make a career in this field.
For the technology lawyers, there are also so many new avenues that will open up in these coming years like E-commerce, online aggregators, digital payments, data privacy, cross-border money transfer or trade, cryptocurrency, algorithmic trading, the export of tech services, regulation of blockchain, drone regulations, regulations of automated vehicles and other robots, cybersecurity and legal issues arising out of many such key technological developments, etc.
As coming to my perspective, what are the factors that developed my interest in the said area of law? As a young budding lawyer, I can see the potential of the growing market, and these two areas of laws are interconnected to each other we can see there is rapid development in both sectors of law (i.e., tech law & M&A) if we look back just 10 years ago we can see there were no technology development like today even there were very few numbers of start-ups but if we see today on the everyday basis an M&A is happening as well as due to Internet and technology advancement on day to day basis companies are forming policies and regulation regarding their technology. Everything is looked after by Lawyers which is bringing immense opportunity for them. And this is only the beginning of this era there are a lot more to come.
Any opportunity definitely comes with Challenges/Problems:-
The three major problems in these areas of law are:
- As these areas of practice are totally based on skillset and in our most of the law school no such type of skillset is taught so that, to develop this skillset one should need attend lots of internships related to these areas of law during their college days.
- As these areas of law are in developing stage and in day-to-day basis laws related to these areas of practice is also developing so it is necessary to keep updated with latest development in this particular area.
- The major problem for law student in both areas of law is lack of understanding of basic documentation for e.g., in M&A- Transactional understanding, due diligence etc. very few of the student are familiar with these terms because we as students barely taught these things in our law schools. To eradicate this problem the only way to use the resources around you in best possible way like Study about M&A, learn the practical skills from the best minds in the industry, work hard and one should need to invest the time and energy to go after what you want and make it happen!
I have passion and desire to work as M&A or Tech lawyer and I believe in myself that today or tomorrow I am going to make it happen with my diligence, perseverance, and hard work.
